1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the websites, platforms, and services offered by CleverAlpha Securities (a DBA of Velocity Capital LLC) and CleverAlpha Asset Management LLC (collectively, “CleverAlpha,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

These Terms apply to cleveralphasecurities.com, CDexplorer.com, and all related applications and platforms. Our Privacy Policy and Disclosures are incorporated by reference into these Terms.

2. Eligibility

• You must be at least 18 years of age
• You must be a U.S. citizen or lawful permanent resident with a valid Social Security Number or Tax Identification Number
• You must have the legal capacity to enter into a binding contract
• You must not be prohibited by applicable law from using our Services
• Certain products and services may have additional eligibility requirements, including suitability determinations

3. Description of Services

CleverAlpha Securities

CleverAlpha Securities, a DBA of Velocity Capital LLC (CRD #171810), provides self-directed online brokerage services including access to equities, options, fixed income securities (including brokered Certificates of Deposit), mutual funds, and other financial instruments. CDexplorer is a product of CleverAlpha Securities offering specialized access to the CD marketplace including primary and secondary market CDs.

CleverAlpha Asset Management

CleverAlpha Asset Management LLC (CRD #301620) provides automated investment advisory services for an annual fee of 0.25% (25 basis points) of assets under management, with a minimum of $1/month.

Not Investment Advice

The content on our websites, including articles, tools, calculators, and data, is provided for informational and educational purposes only. It does not constitute investment advice, a recommendation to buy or sell any security, or a solicitation of any offer to buy or sell any security. You are solely responsible for your investment decisions. We encourage you to consult with a qualified financial adviser before making investment decisions.

4. Account Terms

• You are responsible for maintaining the confidentiality of your username and password
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activity that occurs under your account
• We reserve the right to refuse, suspend, or terminate accounts at our discretion, subject to applicable regulations
• You agree to provide accurate, current, and complete information during registration and to update such information promptly
• Accounts are subject to our Customer Agreement, which you will receive separately upon account opening

5. Brokered CDs — Special Terms

• CDs offered through CleverAlpha Securities are brokered CDs issued by FDIC-insured banks
• FDIC insurance up to $250,000 per depositor, per issuing institution applies; it does not apply to CleverAlpha Securities as an entity
• Brokered CDs sold in the secondary market prior to maturity may result in a loss of principal
• Interest rates and availability are subject to change without notice
• CD purchases are subject to our order execution policies
• Callable CDs may be redeemed by the issuing bank before maturity, potentially at a lower rate environment

6. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws or regulations
• Engage in market manipulation, wash trading, or any fraudulent trading activity
• Attempt to gain unauthorized access to our systems or networks
• Use automated bots, scrapers, or similar tools to access our Services without written permission
• Impersonate any person or entity or misrepresent your affiliation
• Transmit any viruses, malware, or harmful code
• Interfere with or disrupt the integrity or performance of our Services

7. Intellectual Property

All content on our Services, including text, graphics, logos, software, and data compilations, is the property of CleverAlpha or its licensors and is protected by U.S. and international intellectual property laws. You may access and use content solely for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, or commercially exploit any content without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CleverAlpha, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use our Services; any unauthorized access to or alteration of your account; or any other matter relating to our Services.

Our total liability to you for any claim arising from or relating to these Terms or our Services shall not exceed the fees paid by you to CleverAlpha in the twelve months preceding the event giving rise to the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless CleverAlpha and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

10. Dispute Resolution & Arbitration

Any dispute arising from or relating to these Terms or our Services will be resolved by binding arbitration in accordance with the rules of FINRA, where applicable, or the American Arbitration Association (“AAA”) for other matters. The arbitration will be conducted in New York, New York. You and CleverAlpha waive the right to a jury trial and the right to participate in class action litigation. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions, and applicable federal law including the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, and FINRA rules.

12. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of our Services after changes take effect constitutes your acceptance of the revised Terms.
